MemberReel MemberReel Partnership Agreement

This Partnership Agreement ("Agreement") is entered into between MemberReel, operated by TurnCom360 LLC ("MemberReel," "we," "us"), and the chamber of commerce registering on this form ("Chamber Partner," "you").

1. Platform Services

MemberReel agrees to provide the Chamber Partner with a branded, video-first business directory hosted at memberreel.com/[your-slug]. This directory will allow chamber members to create profiles featuring 30-second video spotlights, business information, and contact details.

MemberReel will provide:

• A branded directory page at your chosen URL slug
• Member profile management system with unique access codes
• Payment processing for member subscriptions
• Admin panel access for profile approval and management
• Email notifications for new registrations and payments
• Technical support via email and phone

2. Revenue Share

MemberReel will collect member subscription fees of $35.00 per month or $350.00 per year per active member. The Chamber Partner will receive a referral fee of $8.00 per active member per month, paid quarterly within 15 days of the end of each calendar quarter.

Quarterly payout periods are: January–March (paid by April 15), April–June (paid by July 15), July–September (paid by October 15), October–December (paid by January 15).

MemberReel retains the right to adjust pricing with 60 days written notice to the Chamber Partner. Revenue share percentages will be renegotiated in good faith upon any pricing changes.

3. Chamber Partner Responsibilities

The Chamber Partner agrees to:

• Distribute access codes only to current, dues-paying chamber members
• Promote the directory to members through newsletters, events, and communications
• Not distribute access codes to non-members or competitors
• Provide accurate chamber information including logo, contact details, and description
• Notify MemberReel of membership status changes that affect directory eligibility
• Maintain one designated administrator contact for communication with MemberReel

4. Member Content & Moderation

MemberReel reserves the right to reject, remove, or modify any member profile that contains:

• Inappropriate, offensive, or illegal content
• False or misleading business information
• Videos exceeding 60 seconds in length
• Content that violates any applicable law or regulation

The Chamber Partner acknowledges that MemberReel has final authority over all content published on the platform.

5. Intellectual Property

The Chamber Partner grants MemberReel a non-exclusive license to display the chamber's name, logo, and branding materials on the platform. MemberReel grants the Chamber Partner a non-exclusive license to reference and link to their MemberReel directory in their communications.

6. Term & Termination

This Agreement begins on the date of registration and continues on a month-to-month basis unless either party provides 30 days written notice of termination. Upon termination:

• The Chamber Partner's directory will be deactivated after the 30-day notice period
• Active member subscriptions will be honored through their current billing period
• Final revenue share payment will be calculated and paid within 30 days of termination
• All member data will be made available for export upon request for 30 days

7. Limitation of Liability

MemberReel provides this platform "as is" and makes no warranties regarding uptime, search rankings, or member acquisition results. MemberReel's total liability to the Chamber Partner shall not exceed the total revenue share payments made in the preceding three months.

8. Confidentiality

Both parties agree to keep confidential any non-public business information shared in the course of this partnership. This includes member data, payment information, and business strategies.

9. Governing Law

This Agreement is governed by the laws of the State of North Carolina. Any disputes shall be resolved in Vance County, North Carolina.

10. Entire Agreement

This Agreement constitutes the entire understanding between MemberReel and the Chamber Partner regarding the subject matter herein and supersedes all prior discussions or agreements.
